Referral Program - Terms and Conditions

This Commission Agreement (“Agreement”) is entered into by and between _____________________ (“Referral Partner”) and Trident BPO, LLC (“Trident”), on the ____ day of ________________, 2023 (“Effective Date’). Referral Partner and Trident are collectively described herein as The Parties.

Term. This agreement shall be for 12 months and shall renew automatically each year upon the execution date unless a 90-day notice of termination is provided by either party.

Acknowledgments. The Parties are in agreement regarding the following.

Trident is a BPO which provides and administers virtual assistant support.

Referral Partner wishes to promote Trident’s services and receive a referral fee when a lead provided by Referral Partner (“Verified Lead”) enters into a contract with Trident.

Commission. The Parties agree that commissions will be earned and paid as follows.

Commission shall be $50.00 per month ($600.00 per year).

A commission shall be earned when a Verified Lead enters into a contract with Trident and makes a payment on that contract.

Referral Partner shall be owed a commission in the event a Verified Lead enters multiple contracts regardless of whether the contracts are entered initially or over time.

Use of Intellectual Property. The Parties agree that they may use the likeness, logos, images, videos, etc. of the other as may be necessary to promote and further the goal of this Agreement.

Non-Solicitation. The Parties agree that they shall not hire or employ, regardless of classification, the employees or contractors of the other party. 

Confidential Information. The Parties agree that they will endeavor to protect and not make public any internal data or collaborative data created or shared between The Parties as it relates to this Agreement.

Amendment. This Agreement may be amended or supplemented by a written agreement executed by The Parties. 

Entire Agreement. This agreement embodies the entire agreement between the Parties concerning the subject matter contained herein and shall supersede all prior conversations, proposals, negotiations, understandings, and contracts whether written or oral. 

Notice. Any formal notice made as a result of the terms of this Agreement shall be made in writing by certified mail, hand delivery, or email to a representative of the company who has established themselves as a person who has authority to represent the interest of the company to whom notice is being given.

Assignment. Neither party may assign or transfer the responsibilities or Agreement made herein without the prior written consent of the non-assigning party, whose approval shall not be unreasonably withheld. 

Legal Proceedings. The Parties agree that any legal disputes arising out of this Agreement will be litigated in Travis County, Texas and that each party will be responsible for their own attorney’s fees.

Signatures. The Parties have read and understand the terms of this Agreement and signify their interest in moving forward with the Agreement by their signatures.
